ATIA Board of Directors Roles, Responsibilities, and Conflict of Interest Statement

Mission Statement
The Alaska Travel Industry Association (ATIA) will be the leading industry organization promoting Alaska as a top visitor destination, communicating and promoting the Alaskan tourism industry as one of the state’s major economic forces, and will be the respected voice of the industry for the growth of the industry, while remaining stewards of the state’s natural resources, cultures and Alaska’s unique quality of life.

Roles & Responsibilities

I understand my role as a member of the ATIA Board of Directors is to oversee the financial and legal aspects of the association, always act lawfully and in accordance with the mission of the association, and help speak as one voice, making decisions in the best interest of the organization as a whole. As member of the Board of Directors, I commit to:

Know the ATIA Mission, vision, and goals. I will serve as an ambassador for the organization’s commitment to the industry and community.

Provide strategic direction and leadership to the ATIA staff and through annual priorities.

Select, support, and evaluate the Chief Executive Officer.

Support continuous board improvement through board evaluations and other efforts.

Maintain the integrity of the organization by following ethical standards, best practices, and making decisions as a collective body. Board members exercise authority as a whole, not as individuals. I commit to respect the will of the majority as expressed.

Participate in and contribute to ensure effective board and committee meetings.

Serve on at least two committees of the association.

Refrain from making special requests of the staff.

Review agenda and supporting materials prior to meetings. I commit to be informed about the associations work, programs, services, and policies.

Integrity

ATIA expects all officers, directors, and employees to exercise a high degree of professional business conduct and a recognition of the duty of loyalty to the association. The duty of loyalty is a standard where a board member commits their undivided attention when making decisions affecting the association. This means a board member should not make decisions or base their vote on any potential personal gain, but must act in the best interests of the organization. As a member of the Board of Directors, I commit to:

Keep confidential information confidential unless obligated to do otherwise.

If a director is uncertain whether information should be treated as confidential, the director should presume that such information is confidential and not disclose it without proper authorizations.

Refrain from using or appearing to use confidential information obtained in the course of my service for unethical or illegal advantage either personally or through third parties.

Report any misleading or illegal actions, behavior, or statements for any purpose to the President/CEO, Chair, or other officer of the association.

Refrain from utilizing company employees, assets, or equipment for personal purposes.

Never use information and/or relationships available as a result of my position on the ATIA Board in collusion with others to unfair advantage.

Represent the interests of all members served by this association and not favor special interests inside or outside the association.

Refrain from engaging in or supporting any activity that would discredit the association.

Perform my duties as a Board Director in accordance with relevant laws, regulations, association policies, and industry standards.

Conflicts of Interest

As a board member of ATIA, I have a responsibility to:

Disclose to the Board any direct/indirect conflicts of interest, including any transaction or relationship between the association and myself/business/employees, or any entity in which I am employed/associated if such information could lead to a conflict.

Determine if there is a need to excuse myself from the portion of meetings when action is discussed and taken on the matters in which there may be a potential conflict.

An interested Director shall continue to be counted in determining whether a quorum is present but may excused or abstain from voting on any matter in which the Director has asked to abstain or be excused from the discussion.

Refuse any gift, favor, or hospitality that would influence or would appear to influence my actions or the actions of others.

Board Member Agreement

I will abide by the ATIA Board of Director roles and responsibilities, integrity, and conflict of interest statements as outlined above.

I will act and make decisions that are in the best interests of the association, disclose any conflicts of interest, and not vote on matters where my personal or business interests may conflict with those of ATIA.

I will be honest and open about disclosing any unethical or conflicting action that has not been previously disclosed.

I agree to report any potential future conflicts of interest or observed unethical activity of which I have become aware to the appropriate parties.

I will disclose any arrests or convictions of criminal offenses within the past year to the President / CEO or Board Chair.

I will immediately notify the President / CEO or Board Chair of any pending or future criminal proceedings.

If I don’t fulfill these commitments, I will expect the Chair to discuss my responsibilities with me and I may be asked to resign my position.

If at any time I feel that I am unable to responsibly fulfill my obligations to ATIA, my fellow Board members, and the membership, I will resign my Directorship.
